1. Acceptance
By accessing or using iqcloud.cloud (the "site") or any of the services we operate, you agree to these Terms of Service. If you do not agree, please do not use the site or the services.
2. Eligibility
You must be at least 18 years old to use the site or sign up for any service. By using the site you represent that you meet this requirement and have the legal capacity to enter into these terms.
3. Services
iqCloud is an operating group that owns and runs a portfolio of software-led ventures. Each venture operates its own service and may publish its own additional terms on its own website. Where a venture publishes service-specific terms, those terms govern your use of that service and prevail over these terms to the extent of any conflict.
4. Acceptable use
You agree not to: (a) use the site or services for any unlawful purpose; (b) attempt to gain unauthorized access to any part of our systems; (c) interfere with or disrupt the site or services; (d) upload malicious code or content that infringes someone else's rights; (e) misrepresent your identity or affiliation; or (f) use the site or services to harass, abuse, or harm another person.
5. Intellectual property
The site and its content (including text, graphics, logos, and software) are owned by iqCloud or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the site for its intended purpose. All other rights are reserved.
6. Automated tooling and AI assistance
The platform uses automated tooling — including large language models and other machine-learning systems (collectively, "AI") — to draft replies, summarise activity, propose schedules, score risk, forecast demand, and otherwise assist your team. AI outputs are suggestions, not decisions. You are responsible for reviewing any AI-generated content, recommendation, or action before relying on it for a business, legal, financial, medical, safety, or regulated purpose. We make no warranty as to the accuracy, completeness, fitness, or appropriateness of any AI output. AI providers we use as subprocessors, the data that does and does not leave our environment, and our zero-retention posture for prompts and outputs are listed on the security page. We do not train AI models on your data, and we do not allow our subprocessors to do so either.
7. Disclaimers
The site and services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site or services will be uninterrupted, error-free, or secure.
8. Limitation of liability
To the maximum extent permitted by law, iqCloud and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly. Our total aggregate liability arising out of or relating to these terms or the services is limited to the amount you paid us for the applicable service in the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars (USD 100) if you have not paid us anything.
9. Indemnification
You agree to defend, indemnify, and hold harmless iqCloud and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of your use of the site or services or your violation of these terms.
10. Governing law
These terms are governed by the laws of the State of North Carolina, United States, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these terms or the services will be brought exclusively in the state or federal courts located in North Carolina, and you consent to personal jurisdiction and venue there.
11. Changes to these terms
We may update these terms from time to time. When we do, we will update the "Last updated" date above. Material changes will be communicated through the site or by email where appropriate. Your continued use of the site or services after a change means you accept the updated terms.
12. HIPAA-eligible plan
We offer a separately-priced HIPAA-eligible plan for tenants handling Protected Health Information. A signed Business Associate Agreement (BAA) is required before any PHI flows through the platform. The terms of that plan are drafted on the HIPAA disclosure page (draft) and are currently in legal review; until counsel sign-off, the page describes operational posture but is not a binding commitment.
